Stopped Selling in a State? Here’s How to Cancel Your Sales Tax Permit Properly

Life is always changing, and business activities are no exception. Sometimes those changes mean a business stops selling to customers in a specific state. But if your business previously had sales tax nexus in that state, sales tax compliance doesn’t end the moment sales stop.

Simply ceasing sales doesn’t automatically close your sales tax permit or sales and use tax license. In most states, an open permit means ongoing obligations, regardless of your sales volume. States typically require businesses to formally cancel or close their sales tax registration and file a final return to avoid continued filing requirements, penalties, and enforcement actions.

Below is a practical, state-backed guide to how to cancel a sales tax permit, when you need to do it, and how to do it correctly—including a state-by-state table and a cancellation checklist you can follow.

When Do You Need To Cancel Your Sales Tax Permit?

You’ll generally need to cancel your sales tax permit when one of the following happens:

You Stop Selling Into a State

Even if sales drop to zero, an active sales tax license means the state still considers your business active. Most states require businesses to continue filing sales tax returns—including zero-dollar returns—until the permit is formally closed.

In short: no sales does not mean no filing obligation. If you have a sales tax permit, even no tax due can turn into a lot of penalties and interest real fast.

You Sell or Transfer Your Business

Selling a business without notifying the state can create lingering liability. If the new owner incurs sales tax obligations under your sales tax permit number, the ball could drop on your head instead of theirs.

California is a clear example: sellers are required to notify the CDTFA when a business is sold, transferred, or closed in order to properly cancel the seller’s permit. If this does not happen, California may hold the previous business owner liable for taxes, fees, surcharges and assessments incurred by the new owner.

Your Business Model Changes

Say you transition to offering non-taxable services instead of selling taxable goods. In this case, you may no longer need registration, but you’ll still have to close an existing permit to avoid ongoing filing obligations.

You Start Selling Exclusively Through Marketplace Facilitators

Many states allow businesses to cancel their sales tax permit if they no longer have direct taxable sales because a marketplace facilitator now collects and remits tax on their behalf. That said, some sellers choose to keep their permits open and continue filing zero returns.

Regardless of whether you cancel, most states require marketplace sellers to retain marketplace sales documentation—often for at least four years—in case of an audit.

Why You Must Cancel or Close Your Sales Tax Permit

It’s common for businesses to hesitate before closing a sales tax permit:

  • What if we sell there again later?
  • If no tax is due, why does it matter?
  • Won’t the buyer of my business need the permit anyway?

These are reasonable questions. However, across states, the answer is consistent: if you stop selling into a state, you should close your sales tax permit. Here’s why.

An Open Permit Comes With Filing Obligations

States assume that an active sales tax permit means active business activity. As a result, most states require sales tax returns to be filed even when no tax is due. Failure to file can trigger non-filer notices, estimated assessments, and penalties. As long as the permit is open, it’s safe to assume the filing clock keeps ticking.

An Open Permit Creates Future Liability Risk

If you fail to notify the Department of Revenue that you’ve stopped selling or transferred your business, you could be exposed to future tax liabilities incurred under your permit after you’ve exited the market.

As mentioned earlier, California law explicitly warns sellers that failing to report a business closure or transfer can leave them liable for unpaid taxes tied to that permit. The bottom line? A sales tax permit is not a souvenir or a relic, but a symbol of ongoing responsibility until closed through proper channels.

Can a Closed Sales Tax Permit Be Reinstated?

Yes. But the path back depends on how the permit was closed in the first place.

  • Voluntary closure: If you voluntarily cancel your sales tax permit after filing final returns and resolving all outstanding liabilities, most states allow you to re-register easily if you resume taxable sales in the future.
  • Revocation or suspension: If a state revokes your sales and use tax license due to non-compliance (such as failure to file or pay), reinstatement is more difficult. States like Minnesota require payment of all outstanding tax liabilities, proof of future compliance, and sometimes a security deposit before reissuing a permit. Repeated revocations can result in a waiting period or refusal.

So the good news? A voluntary closure is usually easily reversible. The bad news? A forced revocation is harder to come back from.
